General Terms and Conditions for the Use of Itwnet.com 

 

Preamble 

 

Upon registration as a user of Itwnet.com the user (hereinafter referred to as the "User") acknowledges and agrees that these General Terms and Conditions (hereinafter referred to as the "GTC") shall be binding to the contractual relationship between the User and ITWNET .

The contracting party is ITWNET INTERNATIONAL BV Zuiderstationweg 18, 2061 HE Bloemdaal The Netherlands (hereinafter referred to as "ITWNET "), represented by Alejandro Debenedet, managing director. These Terms & Conditions refer to the website www.Itwnet.com as well as all pertinent sub-domains and aliases, collectively referred to as Itwnet.com".

 

These GTC shall govern the contractual relationship between the User and ITWNET irrespective of from which of the Itwnet.com websites the User registers with or logs in to Itwnet.com.

ITWNET offers the services of Itwnet.com exclusively to natural persons of legal age who conform to the admission criteria set forth on Itwnet.com under "Benefits".

 

1. Subject Matter 

 

1.1. ITWNET offers registered users a private communication forum for the initiation of business contacts (membership in this forum is hereinafter referred to as the "Membership").

 

1.2. Details about the applicable fees for the Membership are set forth on Itwnet.com under "Benefits". The fees listed under "Benefits" are binding. Payments for the Membership fees shall be due and owing prior to the registration by the User. The User will effect payment according to the instruction on the membership invoice. Itwnet.com is entitled to deliver invoices for the Membership fees by e-mail to the User.

 

1.3. Any use of any of the services and/or contents offered on Itwnet.com in excess of the scope of use as provided by ITWNET is inadmissible without the prior written consent of ITWNET.

 

1.4. ITWNET shall make available all data and/or information provided by the User, unless said data and/or information breaches (i) any applicable law or statute or (ii) any of the terms and conditions of these GTC. ITWNET is entitled to remove any data and/or information not in compliance with the foregoing provision without giving prior notice to the User.

 

1.5. The User acknowledges and agrees that it is technologically impossible to achieve a 100 %-availability of Itwnet.com. ITWNET shall strive to constantly provide Itwnet.com to the extent possible. Events such as for example maintenance works, safety or capacity requirements, and/or events beyond ITWNET 's reasonable sphere of control (e.g. disruptions in public communication networks, power failures etc.), may result in short disturbances or in temporary interruptions of the services provided on Itwnet.com.

 

1.6. ITWNET offers the Itwnet.com Internet platform solely with the intent to bring the User together with other users, and ITWNET merely provides technological applications allowing the User to contact other users. In no event shall ITWNET participate in any communication among the User with other users. If the User enters into agreements with other users via Itwnet.com, ITWNET shall not be a contracting party to these agreements, and in no event shall ITWNET be responsible for the execution and/or fulfillment of contracts between the User and any other user. ITWNET does not warrant nor represent that the User may successfully establish the contact to any other user regarding any agreements made via Itwnet.com. Further, ITWNET shall not be liable to any user for a breach of duties under these agreements.

 

2. Representations and Warranties upon Registration 

 

2.1. The User must register prior to using any of the services on Itwnet.com.

 

2.2. The User warrants and represents that all of the data provided by the User for registration is accurate and complete. The User shall report any changes in the registration data to ITWNET without undue delay. It is inadmissible for the User to use pseudonyms or pen names.

 

2.3. The User warrants and represents,

 

◦    that the User is of legal age at the time of registration,

◦    that the User conforms to the admission criteria set forth on the Itwnet.com under "Benefits".

◦    that the User uses Itwnet.com exclusively in the User's professional activities.

 

2.4. The User shall select a password upon registration. The User is obliged to keep the password secret. ITWNET shall not disclose the password to any third party and ITWNET shall not request the User's password at any time.

 

2.5. The User is entitled to register with Itwnet.com only once, and the User may only establish one (1) user profile.

 

2.6. It is technologically impossible for ITWNET to determine with certainty whether any user registered with Itwnet.com is in fact the person which such user represents to be. ITWNET does not warrant nor represent the correctness of any user's represented identity, and each user is solely responsible to check the correctness of the identity of any other user.

 

3. Obligations of the User 

 

3.1. The User is obliged

 

3.1.1. to provide true and non-misleading statements in the User's profile and in the User's communication with other users, and to refrain from using any pseudonyms or pen names.

 

3.1.2. to transmit to Itwnet.com only photographs of the User which are not older than two (2) years and which clearly and plainly identify the User. The User warrants and represents that the public display of the photographs delivered by the User to Itwnet.com is permitted by law. The User shall not transmit any photographs or images of any other person than of the User, nor of non-existent persons or other beings (such as animals, fantasy beings, etc.). The photographs delivered by the User shall not contain any company logos.

 

3.1.3. to comply, when using the contents and services on Itwnet.com, with all applicable laws and statutes, including without limitation all intellectual property rights and any other rights of any third party. In particular, without limitation, the User shall not,

 

◦    use any insulting or defamatory contents, regardless of whether said contents addresses any other user or any personnel of ITWNET or any other companies,

◦    use any pornographic contents or any contents not in compliance with any applicable laws or statutes for the protection of minors, and the User shall neither advertise nor promote, offer or distribute any pornographic products or products which do not comply with any applicable laws or statutes for the protection of minors,

◦    unreasonably disturb any other user, in particular by using SPAM,

◦    use any contents protected by law or statute (e.g. by copyright, trademark, patent, utility patent, or design patent laws), without being entitled to do so, nor to advertise, promote, offer or distribute any goods or services protected by law or statute, or

◦    use or promote any unfair competition commercial practices, including without limitation progressive customer acquisition practices (such as, for example, chain distribution systems, multilevel selling or pyramid sales).

 

3.1.4. to refrain from undertaking any of the following molesting actions, even if they do not constitute a breach of any applicable laws or statutes:

 

◦    Sending chain letters,

◦    Sending identical private messages to more than one (1) user at the same time,

◦    Performing, advertising and promoting any form of multi-level marketing, or

◦    Using any insinuating or sexual communication, neither suggestive nor explicit.

◦     

3.2. The following actions are inadmissible to the User:

 

◦    Use of any mechanisms, software or scripts in connection with the use of Itwnet.com. However, the User may use the interfaces or software provided by ITWNET within the scope of the services available on Itwnet.com.

◦    Blocking, overwriting, modifying and copying of any contents of Itwnet.com, unless said actions are mandatory for the proper use of the services on Itwnet.com. For avoidance of doubt and as an example, the use of "Robot/Crawler"-search engine technologies is not mandatory for the proper use and is therefore inadmissible;

◦    Distributing or publicly displaying the contents of any of the websites of Itwnet.com or any other user,

◦    Performing any actions which may impair the operability of ITWNET 's infrastructure, including without limitation actions which may unreasonably overload said infrastructure.

4. Changes in the Services on Itwnet.com

 

ITWNET reserves the right to modify the services offered on Itwnet.com and/or to offer different services than the ones offered at the time of the User's registration at any time, to the extent reasonable to the User.

 

5. Termination of Membership

 

5.1. The User may terminate the Membership at any time without cause. The User may deliver notice of termination by sending an email to support@Itwnet.com. The termination notice shall include the registered name of the User and an e-mail address of the User registered on Itwnet.com.

 

5.3. ITWNET may terminate the Membership for good cause. ITWNET may do so without any term of notice. A good cause is defined as an event, which makes it unacceptable for Itwnet.com to continue the contract until the end of the termination period, taking into account all circumstances of the individual case and weighing the interests of ITWNET against the

User's. A good cause includes without limitation any the following events:

 

◦    If the User does not comply with any applicable law or statute,

◦    If the User breaches a contractual obligation, in particular an obligation set forth in Sections 2 or 3,

◦    If the reputation of the services offered on ITWNET is substantially impaired by the online-presence of the User (if, for example, it turns out after the registration of the User that the User had been convicted legally binding of a criminal offense, and if said conviction is known to other users),

◦    If the User promotes any communities or associations (or any of their methods or activities) under observation by the competent authorities for the public safety or the protection of minors, or

◦    If the User causes damage to any other user(s).

◦     

5.4. In the event of a good cause in accordance with Section 5.3 and notwithstanding ITWNET 's right to terminate the contract in accordance with Section 5.3, ITWNET is entitled to:

 

◦    delete the contents provided by the User,

◦    issue a warning, or

◦    block the User's access to the services on Itwnet.com.

 

5.5. The User shall never be entitled to claim repayment of any the User's advance payments.

 

6. Responsibility for Data and/or Information provided by the User

 

6.1. ITWNET does not make any warranties or representations regarding any data and/or information provided or made available by any user on any of Itwnet.com or on any external websites linked to. In particular, without limitation, ITWNET does not warrant nor represent that said data and/or information is true or accurate, nor that it fulfills or serves any particular purpose(s).

 

6.2. The User may report any activities of any other user(s) not in compliance with (i) the applicable laws or statutes or (ii) any of the terms and conditions of these GTC by emailing to info@itwnet.com.

 

7. Restriction of Liability

 

ITWNET - including any person engaged in performing any obligation under this contract - shall be liable for damages under any claim based on normal negligence only, if ITWNET breaches a basic obligation under this contract. In this event, ITWNET shall not be liable to the User for any amount representing damages in excess of characteristic and foreseeable damages

These restrictions shall not apply to the extent to which damages are covered under ITWNET 's business liability insurance and further provided that the insurance company has effected payment to ITWNET . ITWNET agrees to uphold the coverage of this insurance as given at the time of the execution of the contract.

Claims for personal injuries and claims shall remain untouched.

 

8. Indemnification

 

8.1 The User warrants and represents that any contents, data and/or information in the services of Itwnet.com provided by the User is free of any rights of any other user or any third party. The User further warrants and represents that the User complies with the applicable laws and statutes and the terms and conditions of these GTC, when using Itwnet.com. The User shall indemnify and hold ITWNET harmless from and against any and all actions, claims, losses, damages, liabilities, awards, as well as reasonable costs and expenses (including legal fees) resulting from or arising out of any litigation or any breach of the foregoing warranties, or which is based on a claim of an infringement. ITWNET reserves all further rights and claims for damages.

The User's obligations under this Section 8.1 shall not apply to the extent the relevant infringement is not attributable to the User.

 

8.2 In the event the contents provided by the User infringes any rights of any third party, the User shall, at its own expense and at ITWNET 's discretion, either provide ITWNET with the right to use said contents or render said contents free of any infringement. In the event the User breaches any applicable laws or statutes or any of the terms and conditions of these GTC, when using Itwnet.com, the User shall refrain from such unlawful or contrary to contract usage without delay, if so requested by ITWNET .

 

9. Data Protection

 

ITWNET acknowledges and agrees that any data provided by the User to Itwnet.com is extremely important to the User and ITWNET shall therefore be particularly sensitive in dealing with said data. ITWNET shall adhere to all applicable statutory provisions regarding data protection (European Data Protection Directives and any other applicable laws and statutes on data protection). In particular, ITWNET shall not disclose any personal data of the User to any third party without being entitled to do so. Details on ITWNET 's treatment of the User's data are set forth in the Data Protection Policy of Itwnet.com accessible from Itwnet.com.

 

10. Final Provisions

 

10.1. The contract constitutes the entire and exclusive statements of the agreements between the parties with respect to its subject matter and there are no oral or written representations, understandings or agreements relating to the contract which are not fully expressed in the contract.

 

10.2. ITWNET reserves the right to amend these GTC at any time, without giving reasons, unless an amendment is unreasonable to the User. ITWNET shall give due notice of any amendments of these GTC to the User. If the User does not object to the applicability of the revised GTC within two (2) weeks after receipt of said notice, the amended GTC shall be deemed to be accepted by the User. ITWNET shall inform the User about the User's right to object and of the relevance of the objection deadline in said notice.

 

10.3. Unless otherwise stated in these GTC, the User may submit all notices to ITWNET emailing to info@itwnet.com, by letter post or by facsimile. ITWNET may submit notices to the User by e-mail, facsimile or letter post to the addresses the User has provided as the User's current contact data in the User's user account.

 

10.4. If any provision of these GTC is, for any reason, invalid and/or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law. The parties agree to replace an invalid and/or unenforceable provision with a valid and/or enforceable provision which most closely approximates the intent and economic effect of the invalid and/or unenforceable provision.

 

10.5. The place of delivery of any obligations and/or performances under these GTC shall be ITWNET 's main place of business.

 

10.6. To the extent admissible by law or statute, exclusive venue for all legal disputes arising from these GTC and/or the contractual relationship between the parties shall be ITWNET 's main place of business.

 

10.7. These GTC and the contractual relationship shall be governed exclusively by the applicable laws and statutes of Bloemendaal, The Netherlands

The protection of your personal data is of utmost concern to ITWNET. In these terms and conditions on data protection ITWNET would like to inform you about how ITWNET treats your personal data and how you can exchange this data with other users of Itwnet.com.

 

These terms and conditions supplement ITWNET's Terms and Conditions on the Use of Itwnet.com.

 

1. Basic Principles of ITWNET in treating your Personal Data 

ITWNET strictly adheres to the following basic principles in the protection of your Personal Data:

◦    ITWNET shall collect, process and use your Personal Data in accordance with the laws and statutes on data protection of Belgium and those of the European Union.

◦    ITWNET shall use your Personal Data solely to provide the Itwnet.com-Services of Itwnet.com on the Internet for which you have registered yourself. In no event shall ITWNET pass your Personal Data on to any third party, neither for advertising, marketing nor for any other purposes.

◦    With the exception of some general information about your profession you decide all for yourself which of your Personal Data you have delivered to Itwnet.com may be displayed by Itwnet.com to other members of Itwnet.com (cf. Section 3).

◦    Any person not registered with Itwnet.com may only view your Personal Data to the extent you enable and allow them to do so (cf. Section 4).

2. Definitions 

The following terms used in these Terms and Conditions on Data Protection shall have the following meaning:

◦    "Personal Data" shall mean all data and/or information about your profession or your person.

◦    "Itwnet.com" shall mean the entirety of websites on which ITWNET provides the Itwnet.com-Services.

◦    "Itwnet.com-Members" shall mean all registered users of Itwnet.com on the Itwnet.com Websites.

◦    "Itwnet.com-Services" shall mean all registration based services offered by ITWNET on the Itwnet.com Websites.

◦    "Registration Data" shall mean such Personal Data you must deliver to ITWNET in the registration process for the Itwnet.com-Services (mandatory fields).

◦    "Contact Site" shall mean the Itwnet.com Website on which the Personal Data you have delivered to ITWNET is displayed in accordance with your specifications and your consent.

3. What does ITWNET know of you, what do you allow ITWNET to do, and what happens with your Personal Data?

 

3.1 Registration Data

◦    Professional status

The following mandatory Personal Data is accessible to other Itwnet.com-Members without any restrictions:

◦    First name, surname

◦    Professional status

◦    Company name

◦    Position (Title)

◦    Industry

◦    Country, state and city of your company

 

With respect to the following mandatory Personal Data, you may choose in each individual case if the data shall be displayed to a specific other Itwnet.com-Member:

◦    Business e-mail account

◦    Business telephone number

◦    Birth date

 

3.2 Voluntary Data 

If you wish, you may provide additional information about yourself aside from the mandatory data on a voluntary basis (in the following referred to as "Voluntary Data"), to allow other Itwnet.com-Members to better get to know you so they can possibly choose you as a qualified business contact. At the time being, you may choose for example from the following Voluntary Data: Your interests, your education, companies you have previously worked for, what you have to offer to other Itwnet.com-Members, what you are looking for from other Itwnet.com-Members, etc. You may also upload a photograph of yourself, if you wish.

The Voluntary Data you choose to provide to Itwnet.com is accessible to all other Itwnet.com-Members, unless the data is particularly identified. With respect to particularly identified data you may choose in each individual case if the data shall be displayed to a specific other Itwnet.com-Member.

 

3.3 Your Contact Site, Contact Management 

The following of the Personal Data you have delivered to Itwnet.com is visible to all other Itwnet.com-Members:

◦    First name, surname

◦    Professional status

◦    Company name

◦    Position (Title)

◦    Industry

◦    Country, state and city of your company

 

All other Itwnet.com-Members may access your Contact Site and view the information displayed on the Contact Site, including such Voluntary Data you have specified to be accessible to all other Itwnet.com-Members. Certain Itwnet.com-Members may be able to access further of your Voluntary Data in accordance with your specifications for the relevant certain Itwnet.com-Member in each individual case.

If you contact Itwnet.com-Members with a request for personal contact, such Itwnet.com-Members are stored on your Contact Site in a contact list. In the event an Itwnet.com-Member confirms your request for contact, this Itwnet.com-Member shall be counted for you as a so called "confirmed contact". Confirmed and unconfirmed contacts shall be registered separate from one another. Other Itwnet.com-Members may at all times only view your list of confirmed contacts

 

ITWNET has preset the settings to your privacy under "My privacy" per default so that the list of your confirmed contacts is displayed to all Itwnet.com-Members. However, you may change this setting at any time by yourself to the effect that your list of confirmed contacts is not visible to anybody at all or only to certain of your contacts, for example to the direct contacts of your contacts (i.e. contacts in the second generation) or only to the contacts in the third generation or only to the contacts in the fourth generation.

 

The following of your personal statistics are visible to all Itwnet.com-Members at all times:

◦    Number of your confirmed contacts

◦    Number of hits of your Contact Site

◦    Month and year of your membership

 

Other Itwnet.com-Members may send private messages to you in order to establish contact with you. ITWNET has preset the settings to your privacy under "My privacy" per default so that all Itwnet.com-Members may send private messages to you. You may restrict the authority of Itwnet.com-Members to send private messages to you at any time to the effect that either none of the Itwnet.com-Members or that only selected contacts are allowed to send private messages to you, for example only the direct contacts of your contacts (i.e. contacts in the second generation) or only the contacts in the third generation or only the contacts in the fourth generation.

As you see, at Itwnet.com you are at all times in control of your privacy!

 

4. Availability of your Contact Site to Non-Members of Itwnet.com 

Non-Members of Itwnet.com can NOT access your Contact Site and can NOT view any of the information displayed on the Contact Site.

 

5. Forums, Groups 

On the Itwnet.com-Website, ITWNET offers certain forums, groups and similar services (collectively hereinafter referred to as the "forums").

Each forum has one (1) or more moderator(s). The moderator decides for each forum whether the forum is public (within the context of the ITWNET website) or whether it is only accessible to a specific person subgroup, as well as who has read and/or write access for each relevant forum. This information will be displayed on the Itwnet.com-Website for the relevant forum.

Please note: In the event a forum is specified as "public" on the Itwnet.com-Website and in the event the moderator has not restricted the access rights to the forum, all contributions of Itwnet.com-Members to such a forum can be read by all other Itwnet.com-Members, BUT these contributions are NOT accessible to non-members of ITWNET on the Internet.

 

6. Appointments, Activities, Event Management 

On the Itwnet.com-Website, ITWNET offers you the possibility to enter your appointments, activities and events as well as similar services (collectively hereinafter referred to as the "events"). With this function you may manage and coordinate your events with other Itwnet.com-Members, and you may also invite other Itwnet.com-Members and/or non-members to specific events.

Each event has one (1) or more hosts (organizer). The host decides for each event if and which information about the event is visible to other Itwnet.com-Members and/or for non-members of Itwnet.com. Among other things, this information may include whether the event is reserved to Itwnet.com-Members or whether it is a public event and as such accessible to non-members, whether the number of participants is limited, whether the guest list is visible without any restrictions or if and which restrictions to the visibility of the guest list may apply. The above information shall be displayed on the Itwnet.com-Websites for the relevant event. It is visible to Itwnet.com-Members, and it may also be visible to non-members, dependent on the specifications by the host.

 

7. Invitations

As a member of Itwnet.com you may suggest to invite other persons to membership with Itwnet.com. Please contact support@Itwnet.com if you may wish to do so. ITWNET shall process the personal data collected in the course of the invitation solely for the invitation and ITWNET shall not use it for any other purposes.

 

8. What does "Clickpath" mean?

"Clickpath" is a function of the Itwnet.com-Services which registers access to Contact Sites of Itwnet.com-Members by other Itwnet.com-Members or access to specific information contained on the Contact Sites.

By using Clickpath you may determine which Contact Sites of other Itwnet.com-Members you have visited. Vice versa, you may check which other Itwnet.com-Members have visited your Contact Site. Of course, all other members of ITWNET may also do so, i.e. they may determine whether you have visited their Contact Site. This feature is an essential element to contact management with Itwnet.com and as such an essential element of the Itwnet.com-Services overall: You may not deactivate this feature in the settings to your privacy. If you do not agree that other Itwnet.com-Members may determine whether you have visited their Contact Site, you should not use the Itwnet.com-Services.

Further, Clickpath registers which Itwnet.com-Members have visited your website at Itwnet.com ("About me") which you may implement in the framework of the Itwnet.com-Services, and which Itwnet.com-Members have visited the website of one of your previous companies.

Any information registered by Clickpath is deleted by Itwnet.com automatically within one (1) week after its registration.

 

9. Search Functions

The Itwnet.com-Services offer various possibilities for the search of specific other Itwnet.com-Members, including a power search function and a search agent. These various search functions may assist you, for example, in finding other Itwnet.com-Members with similar interests. The search functions also helps you to initiate contact with other Itwnet.com-Members who offer exactly what you are looking for. Thus, you can find exactly the contacts you really need - and systematically expand your personal network.

 

10. Newsletter, weekly Status-E-Mails

ITWNET regularly sends out newsletters or weekly status e-mails (collectively hereinafter referred to as the "newsletter(s)") to all Itwnet.com-Members. In these newsletters ITWNET may inform you, among other things, about new features at Itwnet.com, about your events in the upcoming week, and ITWNET may also provide you with specific personal statistics from the respective past calendar week (i.e. the number of hits of your Contact Site, whether you have new contacts to be confirmed and/or new private messages, etc.).

Further, ITWNET may present three (3) new members of Itwnet.com to you in each newsletter. It may also be that ITWNET presents yourself as a possible contact to other Itwnet.com-Members in a newsletter. If you do not wish to be presented as a possible contact to other Itwnet.com-Members in a newsletter, you may change the settings under "My privacy" at any time to the effect that this shall not happen.

Finally, ITWNET may inform you about three (3) random Itwnet.com-Members who have visited your Contact Site in the past week. Of course, this may also apply to yourself vice versa, i.e. you may be one of those random Itwnet.com-Members with regard to another Itwnet.com-Member whose Contact Site you have visited in the past week.

You may choose to unsubscribe from the newsletter at any time via sending an e-mail to the link specified at the end of each newsletter.

 

11. Cookies

After you have logged in to the ITWNET-Services with your user name and password, ITWNET uses cookies in order to identify you during the course of your session. One cookie will be stored on your computer. Upon the termination of your session the cookie will be automatically deleted. You may maintain this cookie on your computer for an automatic login to subsequent sessions by activating the function: "Login automatically on this computer". Any so maintained cookie contains part of your login data in encrypted form. If you choose automatic login, please be aware that an automatic login will then only be possible on the very computer on which the cookie was first maintained, i.e. an automatic login on two (2) different computers is then not possible.

 

12. Log Files

In each event you demand access to a website of the Itwnet.com-Website, ITWNET shall save the following data in a log file (the so called "server log"):

◦    Your IP address (through which your computer may be clearly identified),

◦    The name and IP address of the computer which demands the relevant page of the Itwnet.com-Website (the so called "remote host computer"),

◦    The time, status, and amount of the transferred data, as well as the Internet website from which you have reached the demanded page of the Itwnet.com-Website (the so called "referrer")

◦    The product and release information of your Internet browser (the so called "user agent").

 

This log file will be stored by ITWNET in the standardized "combined" log file format of the Apache webserver. ITWNET uses the data of this log file in anonymous form without reference to your person for statistical purposes. In doing so, ITWNET may analyze on which days and at which time the ITWNET-Services are particularly frequented and how much data volume is created on the Itwnet.com-Website.
